Welcome to Keyvo. These Terms and Conditions (“Terms”) govern your access to and use of Keyvo’s website, services, and software (collectively, the “Platform”). By accessing or using Keyvo, you agree to be bound by these Terms. If you are using the Platform on behalf of a company, you represent that you have the authority to bind that company to these Terms.

1. Definitions
“Keyvo” refers to the Keyvo platform, owned and operated by [Company Legal Name].

“Platform” refers to Keyvo’s API, dashboards, decisioning engine, and related services.

2. Services Provided
Keyvo provides an underwriting and risk evaluation engine designed to:
Help dealerships submit and process subscription-based financing applications.
Enable lenders to assess risk through structured outputs.
Deliver capital-market-ready data for funding and securitization.
Keyvo does not act as a lender, broker, or financial advisor. The Platform provides decisioning logic and outputs, but all financing decisions remain the sole responsibility of the lender or capital partner.
3. Eligibility & Account Registration
Clients must be authorized businesses (dealerships, lenders, fleet operators, or similar).
You agree to provide accurate and complete information during registration.
You are responsible for maintaining the confidentiality of login credentials and all activity under your account.
4. Use of the Platform
You agree to:
Use the Platform only for lawful business purposes related to vehicle subscription financing.
Not reverse-engineer, copy, or resell the Platform without prior written consent.
Comply with all applicable laws, including data protection, consumer finance, and underwriting regulations.
Keyvo reserves the right to suspend or terminate access if usage violates these Terms.
5. Data & Privacy
You retain ownership of data you input into the Platform.
By submitting data, you grant Keyvo a license to process, analyze, and store it for the purposes of providing services.
Keyvo will implement commercially reasonable safeguards to protect your data.

6. Fees & Payment
Use of the Platform may be subject to subscription fees, API usage fees, or other agreed charges.
Fees will be set out in a separate order form, subscription plan, or Master Services Agreement.
Late payments may result in suspension of service.
7. Service Availability & Disclaimer
Keyvo strives to provide continuous, reliable service but does not guarantee uninterrupted access.
The Platform is provided “as is” without warranties of any kind, including accuracy, fitness for a particular purpose, or non-infringement.
Underwriting outputs are recommendations only; final decisions rest with the lender or dealer.
8. Limitation of Liability
To the maximum extent permitted by law:
Keyvo shall not be liable for indirect, incidental, or consequential damages, including lost profits, business interruption, or data loss.
Keyvo’s total liability shall not exceed the fees paid by you to Keyvo in the six (6) months preceding the claim.
9. Confidentiality
Both parties agree to maintain the confidentiality of non-public business, financial, or technical information disclosed in connection with use of the Platform.
Confidentiality obligations survive termination of these Terms.
10. Intellectual Property
All rights, title, and interest in the Platform, including the Ghost Engine 1.0 decisioning system, remain with Keyvo.
You are granted a limited, non-exclusive, non-transferable license to use the Platform during the subscription term.
11. Term & Termination
These Terms remain in effect until terminated by either party.
Keyvo may suspend or terminate access if you breach these Terms.
Upon termination, you must cease all use of the Platform, and Keyvo may delete or anonymize your data in accordance with its data retention policy.
12. Governing Law
These Terms are governed by the laws of [State, Country], without regard to conflict of law principles. Any disputes will be resolved exclusively in the courts of [Jurisdiction].
13. Changes to Terms
